By accessing meiborg.com, submitting a form, requesting a quote, or otherwise engaging with our services, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. These Terms form a binding agreement between you and Meiborg Inc.

If you are using the site on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

Meiborg provides freight transportation, logistics, warehousing, 3PL fulfillment, and related services from its headquarters in Rockford, Illinois and additional facilities. Specific services include, but are not limited to:

• Full truckload (FTL) and less-than-truckload (LTL) freight
• Dedicated routes and temperature-controlled freight
• Pallet storage, climate-controlled storage, cross-docking, and dedicated warehouse space
• Pick-and-pack, kitting, returns, and e-commerce fulfillment
• Driver recruitment and employment opportunities

Specific service terms, rates, and service-level commitments are established in separate written agreements, rate confirmations, or contracts. These Terms do not replace those agreements.

3. Use of the Website

You agree to use meiborg.com only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of the site by, any third party. You agree not to:

• Submit false, misleading, or fraudulent information through any form
• Use automated systems, bots, or scrapers to access the site in ways that burden our infrastructure
• Attempt to gain unauthorized access to any portion of the site, its servers, or related systems
• Upload or transmit viruses, malware, or other harmful code
• Use the site to harass, threaten, or defame any person or entity
• Reproduce, duplicate, copy, or resell any part of the site without our written permission

What you submit

You will provide information such as your name, company name, email address, phone number, service interests, shipment or storage details, timelines, driving history (for driver applications), and any additional notes you choose to share. You agree that all information you submit is truthful, accurate, and current to the best of your knowledge.

How we use it

Information submitted through our forms is collected and used solely for legitimate internal business purposes, including:

• Preparing and delivering freight, warehousing, or 3PL quotes
• Contacting you by phone, email, or SMS to follow up on your inquiry, gather additional details, or present service options
• Routing your inquiry to the appropriate internal team (sales, warehouse operations, driver recruiting, or customer service)
• Evaluating driver applications and determining employment eligibility
• Maintaining records of business communications and inquiries
• Improving our services, website, and customer experience
• Meeting legal, regulatory, safety, and compliance obligations

Who sees it

Form submissions are accessible only to authorized Meiborg personnel with a legitimate business need and to the trusted service providers that operate our email, CRM, and form infrastructure. We do not sell, rent, or trade form data to third parties for marketing purposes.

Your consent to contact

By submitting a form with your contact information, you authorize Meiborg to contact you at the phone number, email address, or mailing address you provide in order to respond to your inquiry, deliver a quote, schedule service, or answer questions. 5. Communications with You

When you submit a form or otherwise contact Meiborg, you consent to receive communications from us related to your inquiry or engagement. These may include transactional emails (quote confirmations, application status, service updates), phone calls from our sales, operations, or recruiting teams, and operational SMS messages where applicable.

6. Quotes & Pricing

Quotes provided in response to a form submission or other inquiry are estimates based on the information you supply and prevailing market conditions at the time of the quote. Unless otherwise stated in writing:

• Quotes are valid for thirty (30) days from the date issued
• Quoted rates assume accurate and complete information from the customer; inaccuracies may result in rate adjustments
• Fuel surcharges, accessorials, detention, and similar charges may apply in addition to the base rate
• A quote does not constitute a binding contract until accepted in writing by both parties and confirmed through a rate confirmation, purchase order, or signed service agreement

7. Payment Terms

Unless otherwise agreed in writing, standard payment terms for all Meiborg services are Net 30 from the invoice date. Invoices not paid within the payment period are subject to a late fee of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less.

The customer is responsible for all costs of collection, including reasonable attorney's fees, incurred by Meiborg in collecting any unpaid amounts.

8. Warehousing & Storage

Goods stored with Meiborg are subject to the terms of a separate warehouse services agreement or the standard terms issued on the warehouse receipt. In addition, the following general terms apply:

• Meiborg retains a warehouseman's lien on all goods stored or handled for unpaid storage, handling, transportation, and related charges, as permitted by the Illinois Uniform Commercial Code
• Customers are responsible for ensuring stored goods are lawfully owned, accurately described, properly packaged, and not hazardous unless expressly agreed in writing
• A minimum storage term of thirty (30) days applies to standard pallet storage unless otherwise agreed
• Dedicated space agreements require a separate written contract with a minimum term and custom service levels

9. Limitation of Liability

To the fullest extent permitted by law, Meiborg's total liability to you for any claim arising out of or relating to the website, form submissions, or services described in these Terms shall not exceed three (3) months of fees paid by you to Meiborg for the specific service giving rise to the claim, or the liability limit set forth in a separate signed service agreement, whichever applies.

In no event shall Meiborg be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

The website is provided on an “as is” and “as available” basis. Meiborg makes no warranties, express or implied, regarding the website's accuracy, availability, or uninterrupted operation, except as required by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Meiborg, its officers, directors, employees, and affiliates from any claim, loss, liability, damage, or expense (including reasonable attorney's fees) arising out of your breach of these Terms, your misuse of the website, or any false or misleading information you submit through any form.

11. Intellectual Property

All content on meiborg.com — including text, logos, graphics, photography, design, code, and trademarks — is the property of Meiborg Inc. or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any site content without prior written permission from Meiborg, except for ordinary viewing and sharing of individual pages.

12. Third-Party Services

meiborg.com may contain links to, or be integrated with, third-party websites and services (for example, driver application platforms, map providers, analytics tools, and CRM systems). Meiborg is not responsible for the content, availability, privacy practices, or terms of any third-party site or service. Your use of those services is governed by the terms and privacy policies of the third party.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms, the website, or the services provided by Meiborg shall be brought exclusively in the state or federal courts located in Winnebago County, Illinois, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

Meiborg may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be posted at https://meiborg.com/terms with a revised “Last Updated” date. Continued use of the website or submission of forms after the update constitutes acceptance of the revised Terms.
